The short answer: FZCO means Free Zone Company and FZE means Free Zone Establishment. Both are limited liability companies registered in a UAE Free Zone, owned 100% by their shareholders. Traditionally an FZE has one shareholder and an FZCO has two or more. But each Free Zone sets its own rules: some no longer use FZE at all, and some add FZCO to every company name. You don't really choose between them: the number of shareholders and your Free Zone decide it.
What FZCO and FZE mean
| FZE (Free Zone Establishment) | FZCO (Free Zone Company) | |
|---|---|---|
| Shareholders | Traditionally one (a person or a company) | Two or more; Jafza allows 2 to 50 |
| Liability | Limited to the share capital | Limited to the share capital |
| Ownership | 100% by the shareholder | 100% by the shareholders, no local partner |
| Separate legal person | Yes | Yes |
In both cases, the company is a separate legal person and the shareholders' liability is limited to their share capital. Day to day, an FZE and an FZCO work the same way: same licence, visas, bank account and tax rules.
How the main Free Zones use these names
| Free Zone | What they use |
|---|---|
| IFZA (Dubai) | Adds "FZCO" to the company name, whatever the number of shareholders. See our IFZA guide |
| Dubai Silicon Oasis (DIEZA) | FZE is no longer used; under its 2023 regulations, existing FZEs are treated as FZCOs |
| Jafza (Dubai) | FZE for one shareholder, FZCO for 2 to 50 shareholders; no minimum share capital set |
| RAKEZ (Ras Al Khaimah) | FZE for one shareholder, FZC for several. See our RAKEZ guide |
| Other zones | Some use other suffixes, such as FZ-LLC. The UAE government portal notes that not every Free Zone registers every type of company |
FZE vs FZCO: which one is "best"?
Neither: the legal protection, tax treatment and visa rules are the same. What matters is:
- How many owners you have now, and whether you plan to add partners. Adding a shareholder to a one-owner company may mean a change of legal form in some zones; in zones like IFZA nothing changes in the name.
- Which Free Zone fits your activities, visas and budget. That choice decides the name, not the other way round. Compare zones on our Free Zones page.
- Whether a shareholder is a company. A corporate shareholder needs attested company documents from its home country.
FZCO vs branch vs mainland LLC
| FZCO / FZE | Branch of a company | Mainland LLC | |
|---|---|---|---|
| Separate legal person | Yes | No, the parent company is liable | Yes |
| Owners | Individuals or companies | 100% the parent company | Individuals or companies; 100% foreign for most activities |
| Where it trades | Worldwide and with mainland companies; shops need mainland | Same as the zone or emirate it is in | Anywhere in the UAE |
| Workspace | Flexi-desk usually enough | Depends on the zone | Own office |

Tax for an FZCO or FZE
The legal form doesn't change the tax. Every Free Zone company registers for corporate tax and files a return. It pays 0% on qualifying income only if it is a Qualifying Free Zone Person and meets every condition, including audited financial statements; otherwise the normal 0% up to AED 375,000 and 9% above apply. See corporate tax in the UAE.
Questions
What does FZCO mean?
Free Zone Company: a limited liability company registered in a UAE Free Zone, traditionally with two or more shareholders. Some zones, such as IFZA, add FZCO to every company name.
What does FZE mean?
Free Zone Establishment: a Free Zone limited liability company with a single shareholder. Some zones no longer use it; Dubai Silicon Oasis treats existing FZEs as FZCOs.
Is an FZCO the same as an LLC?
It works like one: a separate legal person whose shareholders' liability is limited to their share capital. But it is registered with a Free Zone, not with the mainland economic department.
Can a foreigner own 100% of an FZCO?
Yes. Free Zone companies are owned 100% by their shareholders, with no local partner.
How many shareholders can an FZCO have?
It depends on the zone. Jafza allows 2 to 50; Meydan allows up to 50 on a licence; check your zone's rules.
